Terms of Service

1. The service

IBIS is an integrated business-management platform for operations, accounting, people, stock, growth, and community. We provide it on a best-efforts basis and continue to develop it; some features are early and may change.

2. Your account

You are responsible for the accuracy of the information in your account, for keeping your login credentials secure, and for activity under your account. The first account created for a workspace becomes its owner and can invite and manage other members and their roles.

3. Acceptable use

You agree to use IBIS lawfully and not to misuse it. In particular, you agree not to:

• Upload unlawful content, or anyone else's personal information without a lawful basis to do so.
• Attempt to access another business's data, or to breach the tenant isolation that keeps businesses separate.
• Disrupt, probe, or overload the service, or attempt to defeat its security.
• Use the community features to harass, defraud, or spam other members.

4. Pricing and payments

Paid plans and services are billed to you by Legacy Live Web (Pty) Ltd and processed through our payment provider in South African Rand. Fees, where they apply, are shown before you pay. Live and Test modes are separate: Test mode uses a payment sandbox and never moves real money. Unless stated otherwise or required by law, payments are non-refundable; we handle refund requests fairly through support.

The subscription is priced per company, per month — never per user, and never per payslip. The monthly price is the base subscription (R300) when no payroll run is finalised in the month, or the published headcount tier when one is: 1–4 staff R350; 5–8 staff R750; 9–15 staff R1 000; 16–25 staff R1 250; 26–40 staff R1 600. Above 40 staff the 26+ tier continues to apply until pricing for larger teams is published. The tier follows the number of staff on the payroll run you finalise for the month, and the price only changes when that headcount crosses a tier boundary.

Quoted prices are inclusive of VAT for any period in which we are registered as a VAT vendor; the quoted tier price is the final price either way. Engagement rebates, where earned, apply to the R300 base component of the month's price and are credited to your wallet as restricted credits spendable on AI usage or the subscription itself. The only transaction-linked fee is 2% of a payment received through an IBIS payment link, capped at R5 per payment, on top of the payment gateway's own fees.

5. Lifetime membership

A limited run of one hundred (100) lifetime memberships is offered at R10,000 each. A lifetime membership means the business is never billed the monthly subscription again and is always in good standing, for as long as the membership endures as defined here.

“Lifetime” is defined as: the lifetime of the natural person who holds the membership (for a business, the individual owner who acquired it), plus one transfer by inheritance to a single named heir, with the membership terminating on that heir's death. It is not perpetual, does not attach to the company registration indefinitely, and cannot be transferred more than once.

The price is deliberately below what we expect it to cost us to serve a member for life. A lifetime membership is a founding covenant — early support that funds the platform's build, underwritten by the members who come after — not a discounted subscription. We hold lifetime proceeds as a funded obligation against the lifelong service commitment, and never recognise them as day-one revenue.

A small number of lifetime memberships may be granted free of charge by the platform operator; every grant is drawn from, and counted against, the same run of 100.

6. Your data and content

You keep ownership of the business data and content you put into IBIS. You grant us the limited permission needed to host and process it so we can provide the service to you. You can export your data at any time using the built-in data export. Our handling of personal information is governed by the Privacy Policy.

7. Availability and changes

We aim to keep IBIS available and reliable, but we provide it 'as is' and do not guarantee uninterrupted or error-free operation. We may add, change, or remove features, and will give reasonable notice of material changes that affect you.

8. Liability

To the extent permitted by law, we are not liable for indirect or consequential losses, or for loss of profits or data, arising from your use of IBIS. Nothing in these terms excludes liability that cannot lawfully be excluded. IBIS supports your business decisions but does not replace professional accounting, legal, or tax advice.

9. Suspension and termination

You may stop using IBIS and close your account at any time. We may suspend or end access if you materially breach these terms or use the service unlawfully. On termination you can export your data, and we will retain and delete information as described in the Privacy Policy.

10. Governing law

These terms are governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction over any dispute.
